These Terms & Conditions ("Terms") govern your access to and use of the SpoonFed Data software, mobile application, and related services (collectively, the "Service"), provided by 8it Technology Inc. ("SpoonFed Data," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms.
We grant you a non-exclusive, non-transferable, limited license to use the Service for your internal business operations only. The Service may not be resold, sublicensed, or redistributed to any third party without our prior written consent.
You may not modify, copy, decompile, reverse engineer, distribute, or create derivative works based on the Service, in whole or in part, except as expressly permitted by us in writing.
The Service, including all underlying software, designs, and content, is owned by SpoonFed Data and is licensed, not sold, to you. All rights not expressly granted in these Terms are reserved.
Our collection and use of personal data in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We use commercially reasonable efforts to protect data processed through the Service. You are responsible for safeguarding your account credentials and for any activity that occurs under your account.
We may update, patch, or otherwise modify the Service from time to time, including automatically, without additional notice to you.
Your subscription plan includes a monthly invoice processing quota. Uploads that are rejected for being blurry, incomplete, or misrouted, as well as uploads that are subsequently deleted, count toward your plan's quota.
These Terms remain in effect until terminated by either party. We may suspend or terminate your access if you breach these Terms. Upon termination, you must cease all use of the Service and destroy any copies of materials obtained from it.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, SpoonFed Data shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. We will make commercially reasonable efforts to notify you of any security breach affecting your data.
These Terms are governed by the laws of the jurisdiction in which SpoonFed Data operates, without regard to its conflict of law provisions.
